Composition of the Nomination Committee
At the Annual General Meeting on May 6, 2013, it was resolved to adopt a standing instruction for the Nomination Committee that applies until further notice. According to this instruction, the Nomination Committee in respect of future General Meetings shall consist of representatives from four of the Company’s largest shareholders in terms of votes, plus the Chairman of the Board. The member representing the largest shareholder shall be appointed Chairman of the Committee.
Should this member leave the Nomination Committee before its assignment is completed, and if deemed appropriate by the Nomination Committee, another person representing the same shareholder is to be appointed. Alternatively, should this member no longer represent one of the largest shareholders, a representative from the next-largest shareholder shall be appointed.
The composition of the Nomination Committee ahead of the Annual General Meeting is to be based on ownership data as per 31 August every year and is to be publicly announced not later than six months prior to the Annual General Meeting. The mandate period of the Nomination Committee continues until the composition of the next Nomination Committee is announced.

To enable their consideration in a constructive manner, proposals should be submitted to the Nomination Committee by no later than December 31.
